Please read these documents carefully before using WellClinica's services. By using our services, you agree to be bound by these terms.

Important Disclaimer

WellClinica provides functional nutrition services and is NOT a medical practice. The practitioner is a Certified Functional Nutrition Practitioner (CFNP) and is NOT a Registered Dietitian (RD), licensed nutritionist, medical doctor, or licensed healthcare provider. Our services do not constitute medical advice, medical nutrition therapy, diagnosis, or treatment. Always consult with qualified healthcare providers and Registered Dietitians for medical conditions requiring clinical nutrition intervention.

1. Acceptance of Terms

By accessing or using WellClinica's services, website, mobile applications, or any related platforms (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and WellClinica ("Company," "we," "us," or "our"). Your continued use of the Services following any modifications to these Terms constitutes acceptance of such modifications.

You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into this agreement.

2. Description of Services and Scope of Practice

2.1 Services Offered

WellClinica provides functional nutrition services including, but not limited to: personalized meal planning, nutritional assessments, dietary recommendations, lifestyle coaching, educational content, recipe development, grocery list generation, and integration with third-party services such as Instacart for grocery delivery and That Clean Life for meal planning.

2.2 Practitioner Credentials - Important Disclosure

WellClinica's practitioner holds the designation of Certified Functional Nutrition Practitioner (CFNP). This certification is issued by the Functional Nutrition Alliance and represents specialized training in functional nutrition principles.

The Practitioner is NOT a Registered Dietitian (RD)
  • The practitioner is NOT a Registered Dietitian (RD) or Registered Dietitian Nutritionist (RDN)
  • The practitioner is NOT licensed under any provincial or state dietetics act
  • The practitioner is NOT a licensed nutritionist in jurisdictions requiring licensure
  • The practitioner is NOT a medical doctor, nurse practitioner, or licensed healthcare provider
  • The practitioner does NOT hold prescriptive authority for medications or medical devices
  • Services provided are nutrition education and wellness coaching, NOT Medical Nutrition Therapy (MNT)

In Canada, the titles "Dietitian" and "Registered Dietitian" are protected titles that can only be used by professionals registered with provincial regulatory colleges. WellClinica's practitioner does not hold these designations and does not practice dietetics as defined by provincial dietetics acts.

2.3 Services We DO NOT Provide

WellClinica expressly DOES NOT and CANNOT provide:

  • Medical diagnosis or treatment of any disease, illness, or medical condition
  • Medical Nutrition Therapy (MNT) as defined by regulatory bodies
  • Clinical nutrition intervention for acute or chronic diseases requiring licensed care
  • Treatment or management of eating disorders without appropriate medical supervision
  • Nutrition services for conditions requiring Registered Dietitian oversight (renal disease, diabetes requiring insulin adjustment, enteral/parenteral nutrition)
  • Advice that contradicts your physician's orders or prescribed treatment plans
  • Emergency medical care or crisis intervention

2.4 When to Consult a Registered Dietitian

You should consult a Registered Dietitian (RD) rather than, or in addition to, a functional nutrition practitioner if you have: diabetes requiring medication management, kidney disease, heart disease requiring specialized nutrition, an eating disorder, cancer, pregnancy with complications, or any condition where nutrition is a critical component of medical treatment.

3. Client Responsibilities and Representations

As a Client of WellClinica, you represent, warrant, and agree that:

  • You understand that the practitioner is a Certified Functional Nutrition Practitioner and NOT a Registered Dietitian or licensed healthcare provider;
  • You will provide accurate, complete, and current information about your health history, medical conditions, medications, allergies, and dietary restrictions;
  • You will consult with your physician or a Registered Dietitian before beginning any nutrition program, especially if you have existing health conditions;
  • You will immediately notify WellClinica and seek appropriate medical care if you experience any adverse reactions;
  • You understand that results vary by individual and are not guaranteed;
  • You will not use our Services as a substitute for professional medical advice or medical nutrition therapy;
  • You are solely responsible for your dietary choices and health decisions.

4. Payment Terms and Billing

4.1 Payment Processing

All fees for Services are as stated on our website or as agreed upon in writing. Prices are quoted in Canadian Dollars (CAD) for Canadian clients and US Dollars (USD) for United States clients, unless otherwise specified. Payment is due at the time of purchase.

WellClinica uses Stripe, a third-party payment processor, to securely process all payments. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy. Your payment information is transmitted directly to Stripe and is NOT stored on WellClinica servers. Stripe is PCI-DSS Level 1 compliant, the highest level of certification available.

4.2 Subscription Services

Certain Services, including meal plan subscriptions, are offered on a recurring basis. By subscribing, you authorize WellClinica to charge your designated payment method through Stripe on a recurring basis until you cancel.

5. NO REFUND POLICY - ALL SALES ARE FINAL

All Sales Are Final — No Refunds — No Exceptions

By making any purchase from WellClinica, you acknowledge and agree that ALL payments are final and non-refundable. WellClinica does not offer refunds, returns, or money back for any reason, including but not limited to dissatisfaction with services, change of mind, failure to use purchased services, or inability to complete programs.

5.1 Subscription Services (Meal Plans) - NON-REFUNDABLE

Subscriptions are NON-REFUNDABLE.

  • All subscription payments are final and non-refundable
  • No refunds will be issued for partial billing periods
  • No refunds will be issued for unused portions of your subscription
  • No prorated refunds under any circumstances

Cancellation Policy: You may cancel future billing at any time through your account settings or by contacting contact@wellclinica.ca. Cancellation will stop future charges only. You will retain access until the end of your current paid billing period. Cancellation does NOT entitle you to any refund of payments already made.

5.2 Consultations - NON-REFUNDABLE

All consultation purchases are NON-REFUNDABLE, including single sessions, 3-packs, and 5-packs.

  • Single consultation purchases are final and non-refundable
  • 3-Session packages are final and non-refundable
  • 5-Session packages are final and non-refundable
  • No refunds for unused sessions under any circumstances
  • No refunds for missed appointments or no-shows

Rescheduling Policy: Sessions may be rescheduled with at least 24 hours notice, subject to availability. Cancellations with less than 24 hours notice or no-shows will forfeit the session with no refund or credit.

6-Month Expiration

ALL consultation sessions (single or packages) must be used within SIX (6) MONTHS from the date of purchase. Sessions not used within this period will EXPIRE and be permanently FORFEITED. No refunds, credits, or extensions will be granted for expired sessions.

5.3 Digital Products - NON-REFUNDABLE

All digital products are NON-REFUNDABLE once purchased and/or access is granted.

  • Downloadable meal plans - NON-REFUNDABLE
  • E-books and guides - NON-REFUNDABLE
  • Online courses - NON-REFUNDABLE
  • Recipe collections - NON-REFUNDABLE
  • Any digital content - NON-REFUNDABLE

5.4 Challenges and Programs - NON-REFUNDABLE

All challenges and programs are NON-REFUNDABLE.

  • Love Your Body Challenge - NON-REFUNDABLE
  • Group programs - NON-REFUNDABLE
  • Workshops and masterclasses - NON-REFUNDABLE
  • Any multi-day or multi-week programs - NON-REFUNDABLE

6. Chargeback and Payment Dispute Policy

No Chargebacks or Payment Disputes

BY MAKING A PURCHASE, YOU AGREE NOT TO FILE CHARGEBACKS OR PAYMENT DISPUTES WITH YOUR BANK OR CREDIT CARD COMPANY.

6.1 Agreement Not to Dispute Charges

By purchasing any product or service from WellClinica, you expressly agree that you will NOT initiate a chargeback, payment dispute, or reversal of any kind with your bank, credit card company, PayPal, Stripe, or any other payment provider. Filing a chargeback constitutes a breach of this agreement.

6.2 Chargeback Fees and Costs

If you file a chargeback despite agreeing to this policy, you agree to be liable for:

  • The full original transaction amount
  • Chargeback fees imposed by payment processors ($15-$25 CAD per dispute)
  • Administrative fees of $50 CAD for processing the dispute
  • Any collection agency fees if sent to collections
  • Legal fees and court costs if legal action is required
  • Interest at 2% per month (24% annually)

6.3 Fraudulent Chargebacks

If you file a chargeback after receiving services, WellClinica reserves the right to:

  • Submit evidence to dispute the chargeback
  • Immediately terminate your account and access
  • Report fraudulent activity to relevant authorities
  • Pursue civil legal action for fraud and breach of contract
  • Send the debt to a collections agency
  • Report the debt to credit bureaus (Equifax, TransUnion)

6.4 Contact Us First

If you have any issues with a charge, you MUST contact WellClinica directly at contact@wellclinica.ca BEFORE contacting your bank. Filing a chargeback without first attempting to resolve the issue with WellClinica is a violation of this agreement.

7. Third-Party Services

WellClinica uses Stripe for payment processing, That Clean Life for meal planning, and Instacart for grocery delivery. Your use of these services is subject to their respective terms and policies. WellClinica is not responsible for third-party service availability, pricing, or performance.

8. Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS. THE PRACTITIONER IS A CERTIFIED FUNCTIONAL NUTRITION PRACTITIONER, NOT A REGISTERED DIETITIAN. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law

For Canadian Clients: These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada.

For US Clients: These Terms shall be governed by the laws of the State of Delaware.

WellClinica ("Company," "we," "us," or "our") is committed to protecting your privacy. This Privacy Policy describes how we collect, use, disclose, and protect information about you when you use our Services.

This Privacy Policy applies to all users in the United States and Canada. We comply with applicable privacy laws including HIPAA (where applicable) for U.S. clients and PIPEDA for Canadian clients.

  • Usage Information: Pages viewed, features used, time spent

3. How We Use Your Information

  • Service Delivery: Personalized meal plans, recommendations, coaching
  • Account Management: Account creation, payment processing through Stripe
  • Third-Party Integrations: Instacart delivery, That Clean Life meal planning
  • Improvement: Analyze usage and improve Services
  • Marketing: Promotional communications (with consent)

4. Information Sharing

We share information with:

  • Stripe: Payment processing
  • Instacart: Grocery delivery (name, address, shopping lists)
  • That Clean Life: Meal plan generation (dietary preferences)
  • Email and analytics providers

5. Data Security & Retention

We implement appropriate security measures including encryption and PCI-DSS compliant payment processing through Stripe.

  • Active Account Data: Retained while account is active
  • Health Records: 7 years after last interaction
  • Payment Records: 7 years for tax purposes

6. Your Rights

You may have rights to: access, correct, delete, or port your data; opt out of marketing; withdraw consent. Contact us at contact@wellclinica.ca to exercise these rights.

7. HIPAA & PIPEDA Compliance

HIPAA (US): As a functional nutrition practice (not a Registered Dietitian or covered healthcare provider), much of our information may not be subject to HIPAA. However, we treat all health information with high protection standards.

PIPEDA (Canada): We comply with PIPEDA and adhere to its ten fair information principles. Canadian residents may file complaints with the Office of the Privacy Commissioner of Canada.

4. Limitation of Liability

  • Service interruptions or outages
